1. Agreement to Terms

By accessing or using esnaf.io ("Services", "Platform", "we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms", "Agreement"). If you disagree with any part of these Terms, you may not access the Services.

These Terms constitute a legally binding agreement between you (the "User", "Customer", "you") and esnaf.io.

2. Beta Service Notice

CRITICAL BETA SERVICE DISCLAIMER
esnaf.io is currently in BETA (development/testing phase). This is NOT a production-ready service. By using the beta service, you explicitly acknowledge and accept:
The service is experimental and under active development
Features may not work as expected or may fail completely
Data loss, corruption, or unavailability may occur
Service may be discontinued at any time without notice
No guarantees of uptime, performance, or reliability
You use the beta service entirely at your own risk
You should NOT rely on beta services for critical business operations
You MUST maintain independent backups of all important data
Service features, pricing, and terms may change significantly before general availability (GA) launch
USE OF BETA SERVICES FOR MISSION-CRITICAL OR PRODUCTION BUSINESS PURPOSES IS STRONGLY DISCOURAGED AND IS AT YOUR SOLE RISK.

Beta Phase Special Conditions

During the beta phase:

Service availability targets may not apply (see Section 10)
Refund policies have modified timelines (see our Refund Policy)
Liability limits are reduced to actual fees paid with no minimum guarantee (see Section 11)
Features may be added, modified, or removed without prior notice
Subscription pricing may change with 30 days' notice for existing users
We reserve the right to reset, modify, or delete data for testing purposes (with reasonable notice)

3. Definitions

Term	Definition
Services	All cloud-based accounting, bookkeeping, ecommerce integration, payment reconciliation, AI tools, and related features provided by esnaf.io, including free and paid plans
Platform	The esnaf.io web application and related infrastructure
User/Customer	Any individual or business entity that registers for and uses the Services
Account	Your registered access to the Services
Free Plan	Access to basic Services with limited features at no cost
Premium Trial	12-day access to all premium features at no cost
Subscription	Paid access to premium Services on a recurring basis
User Data	All data you upload, input, or generate using the Services
Beta Phase	The current development/testing period before general availability (GA) launch

4. Account Registration & Security

Eligibility

To use esnaf.io, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Provide accurate and complete registration information
Maintain and update your account information
Not be prohibited from using the Services under applicable law

Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Immediately notifying us of any unauthorized access or security breach
Using strong, unique passwords and enabling two-factor authentication (when available)

We are not liable for any loss or damage arising from your failure to maintain account security.

Business Accounts

If you register a business account:

You represent that you have authority to bind the business to these Terms
The business entity is the legal account holder
You agree to keep business registration information current

5. Free Plan and Premium Trial

Free Plan

esnaf.io offers a free plan with limited features available indefinitely:

No credit card required for free plan signup
No time limit - use the free plan as long as you need
Access to basic accounting features including:
- Limited transactions per month
- Basic invoicing
- Essential reporting
- Limited storage
Upgrade anytime to paid plans for full features
No automatic charges - you must voluntarily upgrade

12-Day Premium Trial

Trial Structure

When you register for esnaf.io, you can try all premium features free for 12 days:

Days 1-12: Full access to all premium features at no charge
No credit card required: You can explore all features without providing payment details
No automatic charges: We do NOT collect payment information during the trial
Day 13+: Premium features expire; you can subscribe to a paid plan or continue with the free plan

Your premium trial will NOT automatically convert to a paid subscription.

What Happens After 12 Days?

Scenario	What Happens
You subscribe to a paid plan	Seamless continuation of premium features with your chosen plan
You continue with free plan	Access continues with free plan limitations; all your data is preserved
You stop using the service	Account remains accessible; data retained for 90 days of inactivity
After 90 days of inactivity	Your account and data may be permanently deleted

Trial Terms

Limited to one premium trial per user/business/email address
Free plan always available (no trial required for basic features)
We reserve the right to deny trial access if we suspect abuse or fraudulent intent
Trial users are subject to all Terms except payment obligations
During beta phase, trial and free plan features may be modified or limited

Data During Trial and Free Plan

All data you create remains yours
If you subscribe to a paid plan, your data continues uninterrupted
If you use the free plan, your data is preserved within free plan limits
If you're inactive for 90 days, data will be permanently deleted
You can export your data at any time

6. Subscription Plans & Pricing

Available Plans

esnaf.io offers multiple tiers:

Free Plan: Basic accounting features with limitations (no payment required)
Basic Plan: Essential accounting and bookkeeping features
Professional Plan: Advanced integrations and AI features
Enterprise Plan: Custom features, dedicated support, and volume pricing

Beta Pricing Notice

During the beta phase:

Pricing is subject to change with 30 days' notice for existing subscribers
Early adopters may receive grandfathered pricing for a limited time
Additional features may be added to plans without price increases

Billing Cycles

Monthly: Billed every 30 days
Annual: Billed once per year (typically at a discounted rate)

Subscription Activation

Subscriptions begin when you voluntarily upgrade from free plan or trial and provide payment information
You will receive email confirmation of your subscription
Billing starts immediately upon subscription activation
You can downgrade to the free plan anytime (no refund for remaining period)

7. Payment Terms

Payment Processor

All payments are processed by Paddle.com, our global payment provider supporting 100+ countries.

Paddle.com handles all payment card information securely
esnaf.io does not store your full payment card details

Payment Authorization

By subscribing, you authorize:

Automatic recurring charges based on your billing cycle
Paddle.com to charge your payment method on file
Price increases with advance notice as described in these Terms

Accepted Payment Methods

Credit cards (Visa, Mastercard, American Express)
Debit cards
PayPal
Other methods available through Paddle.com in your region

Failed Payments

If a payment fails for paid plan subscribers:

You will receive email notification
We will retry charging your payment method (up to 3 attempts over 7 days)
If payment fails after retries, your account will be downgraded to the free plan
Access to premium features will be restored upon successful payment

Taxes

Prices may be subject to applicable taxes (VAT, GST, sales tax, etc.)
Taxes are calculated based on your billing address
Paddle.com handles tax collection and remittance
Invoices will show itemized taxes where applicable

Invoices

Invoices are automatically generated and sent via email
You can download invoices from your account dashboard
Invoices include all required tax information for your jurisdiction

8. Data Ownership & Controller/Processor Relationship

Your Data Ownership

You retain full ownership of all User Data. This includes:

Customer and vendor information
Financial records and transactions
Business documents and files
Generated reports and analytics
Any other data you input or create using the Services

esnaf.io's Data Rights

We do not claim ownership of your User Data. However, you grant us a limited license to:

Store, process, and display your data to provide the Services
Create backups for disaster recovery
Use aggregated, anonymized data for service improvement and analytics
Access your data for customer support when you request assistance

We will never sell your data to third parties.

Data Controller vs. Data Processor

Understanding Your Data Responsibilities

For data ABOUT YOU (account holder):

esnaf.io is the Data Controller
This includes your registration info, payment data, usage logs
Our Privacy Policy governs this data

For data ABOUT YOUR CUSTOMERS/VENDORS (that you enter into esnaf.io):

YOU are the Data Controller
esnaf.io is the Data Processor
You are responsible for GDPR and other data protection compliance

Your Responsibilities as Data Controller

When you enter data about third parties (your customers, vendors, employees) into esnaf.io:

You must:

Comply with GDPR and all applicable data protection laws in your jurisdiction
Inform those individuals about data processing and obtain necessary consents
Ensure you have legal grounds to collect and process their data
Respond to data subject requests (access, deletion, rectification) from your customers
Notify esnaf.io if a data breach involving your customer data occurs
Maintain your own privacy policy informing third parties about your use of esnaf.io

esnaf.io will:

Process your customer data only as instructed through your use of the Services
Implement appropriate technical and organizational security measures
Assist with data subject requests when reasonably possible
Notify you of any data breaches affecting your customer data
Not use your customer data for our own purposes

esnaf.io will NOT:

Be responsible for your compliance with data protection laws regarding your customer data
Have any direct relationship with your customers or other third parties
Be liable for your failure to obtain proper consents or comply with data protection obligations

Data Processing Agreement (DPA)

For enterprise customers requiring a formal Data Processing Agreement under GDPR Article 28, contact us at support@esnaf.io.

9. Acceptable Use Policy

Permitted Uses

You may use esnaf.io for lawful business purposes, including:

Accounting and bookkeeping for your business
Managing invoices, expenses, and financial records
Integrating with ecommerce platforms and payment processors
Generating financial reports and analytics
Using AI features for business insights

Prohibited Uses

You may NOT use esnaf.io to:

Illegal Activities:

Violate any applicable laws, regulations, or third-party rights
Engage in fraud, money laundering, or financial crimes
Process payments for illegal goods or services

Harmful Conduct:

Upload malware, viruses, or malicious code
Attempt to gain unauthorized access to our systems or other user accounts
Interfere with the proper functioning of the Services
Conduct security testing without prior written authorization

Abusive Behavior:

Harass, threaten, or abuse esnaf.io staff or other users
Use the Services to send spam or unsolicited communications
Impersonate another person or entity

Terms Violation:

Share your account credentials with others
Create multiple accounts to abuse trial periods or promotions
Scrape, crawl, or data mine the Platform without permission
Reverse engineer, decompile, or attempt to extract source code

Consequences of Violation

If you violate the Acceptable Use Policy:

We may suspend or terminate your account immediately
You may be liable for damages caused by your violations
We may report illegal activities to law enforcement
You will not receive a refund for any fees paid

10. Warranties & Disclaimers

Service Availability

We strive to provide reliable Services with minimal downtime. However, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

esnaf.io is currently in BETA (development/testing phase). This is NOT a production-ready service. By using the beta service, you explicitly acknowledge and accept:
The service is experimental and under active development
Features may not work as expected or may fail completely
Data loss, corruption, or unavailability may occur
Service may be discontinued at any time
No guarantees of uptime, performance, or reliability
You use the beta service entirely at your own risk
You should NOT rely on beta services for critical business operations
You MUST maintain independent backups of all important data

USE OF BETA SERVICES FOR MISSION-CRITICAL OR PRODUCTION BUSINESS PURPOSES IS STRONGLY DISCOURAGED AND IS AT YOUR SOLE RISK.

Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

Merchantability and fitness for a particular purpose
Non-infringement of third-party rights
Accuracy, reliability, or completeness of data
Uninterrupted, error-free, or secure operation
Results obtained from using the Services
Stability or availability during beta phase
Data integrity or preservation during development and testing
Fitness for production or business-critical use during beta
Compatibility with any specific systems or workflows

No Professional Advice

esnaf.io provides tools for managing business data but does NOT provide:

Legal advice
Tax advice
Accounting or auditing services
Financial planning or investment advice

Always consult with qualified professionals for business decisions.

Beta Phase Availability

During beta, we aim for but do not guarantee:

99.5% uptime (excluding planned maintenance)
Response time for support requests
Any specific service level agreements (SLAs)

Production SLAs will be established upon general availability (GA) launch.

11. Limitation of Liability

Maximum Liability

To the fullest extent permitted by law, esnaf.io's total liability for any claims arising from or related to these Terms or the Services shall not exceed:

Standard Cap (After GA Launch): The greater of:

(a) The total fees you paid to esnaf.io in the 12 months preceding the claim, OR
(b) €100 (one hundred euros)

Beta Phase Cap (Current): During the beta phase, our maximum liability is limited to:

The actual fees you paid to esnaf.io (if any)
No minimum liability guarantee

What this means during beta:

If you are using the free trial (paid €0): Maximum liability = €0
If you paid €50 during beta: Maximum liability = €50
If you paid nothing: We have no financial liability for any issues or damages

Excluded Damages

In no event shall esnaf.io be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Cost of procuring substitute services
Business interruption or downtime
Damage to reputation or goodwill
Data loss or corruption (especially during beta phase)
Third-party claims arising from your use of the Services
Damages arising from unauthorized access to your account

Causes of Limitation

This limitation applies regardless of:

The legal theory (contract, tort, negligence, strict liability, or otherwise)
Whether we were advised of the possibility of such damages
Whether the remedy fails of its essential purpose

Exceptions

Some jurisdictions do not allow limitation of liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Gross negligence or willful misconduct

If you are a consumer in the EU/EEA, this clause does not affect your mandatory statutory rights.

Basis of the Bargain

You acknowledge that:

These limitations are fundamental elements of the agreement
We would not provide the Services at the current pricing without these limitations
These limitations apply even if a remedy fails of its essential purpose
During beta phase, the reduced/eliminated financial liability reflects the experimental nature of the service

12. Indemnification

You agree to indemnify, defend, and hold harmless esnaf.io, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

Your use or misuse of the Services
Your violation of these Terms
Your violation of any third-party rights (including intellectual property, privacy, or data protection rights)
Your User Data or the content you upload
Your failure to comply with data protection laws as a data controller for your customer data
Claims by your customers or other third parties whose data you process through esnaf.io
Your breach of the Acceptable Use Policy
Fraud or illegal activities conducted using your account

This indemnification obligation survives termination of these Terms.

13. Intellectual Property

esnaf.io's IP Rights

All intellectual property in the Services, including but not limited to:

Source code, algorithms, and software architecture
User interface designs and layouts
Trademarks, logos, and brand elements
Documentation, guides, and tutorials
AI models and machine learning systems

...remains the exclusive property of esnaf.io. These Terms do not grant you any ownership rights to our intellectual property.

Your License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Services for your business purposes
Display esnaf.io branding as necessary for using the Services
Download and use our mobile applications (when available)

You may NOT:

Copy, modify, or create derivative works of the Services
Reverse engineer or decompile the software
Remove or alter any proprietary notices
Use our trademarks without prior written consent

Your IP Rights

You retain all intellectual property rights in your User Data. By using the Services, you grant esnaf.io a limited license to use your data solely to provide the Services.

Feedback

If you provide feedback, suggestions, or ideas about the Services:

We may use them without obligation or compensation to you
You waive any intellectual property claims to such feedback
Your feedback becomes our property

14. Third-Party Integrations

esnaf.io integrates with third-party services, including:

Ecommerce platforms (Shopify, WooCommerce, etc.)
Marketplaces (Amazon, eBay, etc.)
Banks and financial institutions
AI and machine learning services

Third-Party Terms

Each integration is subject to the third party's own terms and privacy policies
We are not responsible for third-party services or their availability
You must comply with third-party terms when using integrations
We may discontinue integrations at any time

API Usage

If you use our API or integrations:

You must comply with our API documentation and usage limits
We may revoke API access for violations or abuse
API terms may be subject to separate agreements

15. Termination

Termination by You

You may cancel your subscription at any time by:

Logging into your account and selecting "Cancel Subscription"
Contacting support at support@esnaf.io

Upon cancellation:

Access continues until the end of your current billing period
No refunds for unused time in the billing period (unless covered by our Refund Policy)
Your data is retained for 30 days after cancellation for potential reactivation
